Sunwest Management Obtains Court Approval of Purchase and Sale Agreement

Sunwest Management announced late last week that it has received approval from the US District Court Judge Michael Hogan for the sale of the company’s 149 senior housing facilities. The sale of the facilities are part of a previously announced joint venture with Blackstone Real Estate Advisors VI LP, Emeritus Senior Living, and Columbia Pacific Advisors. The joint venture will be the stalking horse bidder during a bankruptcy auction scheduled for May 17, 2010.  The Sunwest Management states that the sale of its facilities valued at $1.3 billion, includes a combination of cash, securities, and assumption of debt. The joint venture will purchase the majority of assets of the consolidated Sunwest enterprise.

This week seems like its the day after last night’s party.  Tired, frazzled (hung over?), picking up the pieces, trying to figure out exactly what everything meant that happened and figuring out how to move forward.  The passage of the healthcare reform bills last week is good for seniors and for Americans. There will always be complaints about the impact the reform will have on taxes and whether enough was really done.  Some of the benefits will be immediate, some will permit the continuation of current practices and some will take many years to fully achieve (gradual closing Medicare Part “D” is a good example).  The more challenging question will how will these changes affect operators, managers and more importantly seniors now, tomorrow, 12 months, 2-5 years down the road?  The bill should have positive short and medium term impact but its the long term impact that is unclear at this time.  It is a great thing that Congress and the President have done in terms of ideology but the fact of the matter is that great ideas are just that; ideas.  Ultimately, it will be the execution of the law that will determine if Obama’s healthcare legacy will be considered successful in the coming years.

AdCare Health Systems to Acquire Two Alabama Nursing Homes for $18.5 Million

AdCare Health Systems, Inc. (NYSE Amex: ADK), an Ohio-based long-term care, home care and management company, recently announced it has executed a definitive purchase agreement for two privately-held nursing homes in Alabama for $18.5 million.  This acquisition follows the announcement of AdCare’s private placement offering in January 2010 to fund its growth initiatives.  The facilities have a total of 312 beds and currently generate approximately $18 million in annualized revenue. The acquisitions, which represent the company’s first expansion outside of Ohio, are expected to increase AdCare’s annualized revenue by 60% and be immediately accretive to earnings. Management expects to close the transaction in the second quarter of 2010. AdCare plans to finance this purchase through a local bank with a guarantee by the United States Department of Agriculture (USDA).

"These two facilities are the first of several potential acquisitions in our pipeline, and are in line with our stated goal to grow both organically and through accretive acquisitions," said Chris Brogdon, AdCare’s vice chairman and chief acquisitions officer. "We are seeing tremendous opportunities in the highly fragmented health care segments of senior assisted living, elderly nursing care and home health care services — all of which are exhibiting strengthening demographics combined with limited facilities to meet future demand."

Expansion Of Covenant Harbor Senior Apartments in Ohio Complete

Covenant HarborLutheran Homes Society’s Covenant Harbor senior housing community announced the completion of construction on the second phase of new independent living apartments in Oak Harbor, Ohio.  The 24 new apartments feature one bedroom, a full kitchen, bathroom and living room. All apartments are designed for aging in place and are wheelchair accessible. An on-site service coordinator is available to help residents find services that allow them to remain independent.  The new construction is connected to the original Covenant Harbor structure with an enclosed, heated corridor. Project financing came from a U.S. Department of Housing and Urban Development grant, with additional contributions by Lutheran Homes Society (LHS). A formal dedication of the facility will be held on Thursday, April 29, 2010.
